Genel işlem koşulları, benzer sözleşmelerde kullanılmak üzere, önceden tek taraflı olarak hazırlanan ve benzer içeriğe sahip sözleşme koşullarıdır. Bu koşullar, ileride yapılacak olan sözleşmede kullanmak amacıyla önceden hazırlandığı için karşı tarafın bu koşullara müdahale etmesi mümkün olmamaktadır. Bu sebeple de söz konusu genel işlem koşullarında bireysel sözleşmelerin temeli olan tarafların karşılıklı irade uyuşması çoğunlukla bulunmamaktadır. Söz konusu bu eksikliğin giderilmesi için genel işlem koşullarından haberi olmayan, sosyal ve ekonomik olarak zayıf konumda olan sözleşmenin karşı tarafının; aleyhine olan hususlar hakkında tam bir bilgi sahibi olması ve korunmasının sağlanması amacıyla, kanun yoluyla sözleşmelere müdahale edilmesi gerekliliği ortaya çıkmıştır. Söz konusu bu müdahale, genel işlem koşullarının idari ve yargısal olarak denetimi aracılığıyla sağlanmaktadır. Çalışmamızın ana konusunu oluşturan genel işlem koşullarının yargısal denetimi TBK’a göre yürürlük denetimi, yorum denetimi, içerik denetimi olmak üzere üç aşamadan oluşmaktadır. Bunun yanı sıra genel işlem koşullarının denetimi, TBK çerçevesinde incelense de 6102 sayılı TTK ve 6502 sayılı TKHK kapsamında da genel işlem koşulları hakkında kanun hükümleri bulunmaktadır. Bu kapsamda genel işlem koşullarını TTK bakımından haksız rekabet ve TKHK bakımından haksız şartlar da incelenmeye çalışılmıştır.
General terms and conditions are terms and conditions of contracts prepared unilaterally in advance and with similar content for use in similar contracts. Because these conditions are prepared in advance to be used in the future contract, it is not possible for the opposite party to interfere with these conditions. Therefore, in these general treaty conditions, the basis of individual contracts of the parties is often not a mutual will agreement. For the removal of this deficiency, the other party of the contract, who is not aware of the general treaty conditions, in a social and economic weak position, has the need to be interfered with the contracts by law in order to ensure full knowledge and protection of the facts against it. This intervention is provided through the administrative and judicial supervision of the general processing conditions. The legal inspection of the general processing conditions, which forms the main subject of our study, consists of three stages: validity inspection, comment inspection, and content inspection. In addition, the supervision of general trading conditions, although examined in the framework of TBK, there are also the provisions of the law on general trading conditions within the framework of TTK 6102 and TKHK 6502. In this context, the general trading conditions have been tried to be examined in terms of unfair competition and unfair conditions in terms of TKHK.
General conditions are unilaterally prepared pre-prepared transaction terms and similar content to be used in contracts. Therefore, the parties whose general conditions are the basis for a full agreement do not have the will of mutual consensus.. In order to correct this deficiency, the counter party of the contract, which is not aware of the general transaction conditions, is socially and economically weak; It has emerged that the law must be communicated, apart from having a complete knowledge of the issues against him and his protection. This intervention is the administrative and judicial handling of the provisions of the general procedure. Judicial control of the general process of examining the main subject of our study consists of three stages, namely, enforcement control, comment control, content control, according to the TBK However, in addition to this, there are provisions of the TCC numbered 6102 and TCC numbered 6502 regarding the general transaction conditions within the scope of the TCO.
