TMK 873 ve 949. maddeleri uyarınca, borcun ödenmemesi halinde rehin konusu malın mülkiyetinin alacaklıya geçeceğine ilişkin sözleşme hükümleri lex commissoria anlaşmaları geçersizdir. Öğretide bu ilkeye lex commissoria yasağı denilmektedir. Tarihsel olgular dikkate alındığında, lex commissoria yasağının, güçlü durumdaki alacaklıya karşı, kredi ihtiyacı içindeki borçlunun korunması amacıyla getirildiği; bu yasak sayesinde, borçlunun korunması yanında, rehin kurumunun sürdürülebilir bir teminat aracı haline gelmesinin de sağlanmış olduğu anlaşılmaktadır. Bu yasak olmadan rehin kurumunun varlığını sürdürmesi mümkün olmayacağı gibi, sağlıklı işleyen bir ekonominin varlığından da söz edilemeyecektir. Bu nedenle, yasağın dolaylı olarak işlevsiz bırakılma ihtimalinin bulunduğu anlaşma türlerinin de irdelenmesi suretiyle, yasağın tanımının ve unsurlarının açıkça ortaya konulması oldukça önem arz etmektedir. Yasağın maddi hukuk yanında icra ve iflas hukukuyla da ilgili olduğu dikkate alınarak, rehnin paraya çevrilmesiyle ilgili taraf anlaşmalarının bu yasak karşısındaki durumunun da ortaya konulması gerekmektedir.
