6102 sayılı Türk Ticaret Kanununa göre uzun süreden beri anonim şirketlerin kanunen gerekli organlarından biri olan yönetim kurulunun mevcut olmaması veya genel kurulun toplanamaması halinde pay sahipleri, şirket alacaklıları veya Gümrük ve Ticaret Bakanlığı, şirket merkezinin bulunduğu yerdeki asliye ticaret mahkemesinden şirketin feshini talep edebilir. İstem üzerine mahkeme, yönetim kurulunu da dinleyerek şirketin durumunu kanuna uygun hale getirmesi için bir süre belirler. Bu süre içinde durum düzeltilmezse, mahkeme şirketin feshine karar verir. Mahkeme ayrıca, taraflardan birinin istemi üzerine gerekli önlemleri de alabilir.
