Abstract:

Anonim şirket bir sermaye şirketi olduğundan sermaye hem ortaklar hem şirket hem de alacaklılar bakımından önemlidir. 6102 sayılı Türk Ticaret Kanunu, sermaye ve kanuni yedek akçeler toplamını bu kişiler bakımından bir güvence olarak görmekte, bunun zarar sebebiyle 2/3’lük kısmının kaybedilmesini madde 376/2 hükmünde özel olarak düzenlemektedir. Kanun, bu oranda kaybın gerçekleşmesi halinde yönetim kuruluna bazı yükümlülükler getirmekte, genel kurula bu durumun aşılması yönünde iki alternatif yol sunmaktadır.
