Kefalet sözleşmesi, Türk Borçlar Kanununda düzenlenmiş, kişisel teminat amacı taşıyan sözleşmelerdendir. İvazsız olan bu sözleşmede kefil, borçlunun borcunu ifa etmemesi durumunda sorumluluk almaktadır. Çoğunlukla hatır ilişkilerine dayanan bu sözleşme sebebiyle kefiller, çoğu zaman bir menfaatleri olmadığı halde, borcu ifa etmek zorunda kalmakta ve borçluya rücu ettiklerinde, herhangi bir şey elde edememektedirler. Bu durum borçlu ile birlikte ailesinin de önemli zorluklarla karşı karşıya kalmasına sebep olmaktadır. Bu sebeple Kanun Koyucu, 6098 sayılı Türk Borçlar Kanununda kefili koruyucu nitelikte getirdiği pek çok düzenlemenin yanı sıra, kefalette eşin rızasının da aranmasını şart koşmuştur. Bununla yetinmeyerek, TBK m. 603 hükmüyle, bu koruyucu hükümlerin, kefalete benzeyen diğer hukukî işlemlere de uygulanmasını emretmiştir. Türk Ticaret Kanununda düzenlenen aval kurumunun da, bu kapsamda olup olmadığı, gerek doktrinde, gerekse yargısal içtihatlarda sürekli tartışılmıştır. Yargıtay, 2018 yılında içtihatları birleştirdiği kararında, aval kurumunun TBK m 603 kapsamında değerlendirilemeyeceğini ve eşin rızasının aranmasına gerek olmadığına hükmetmiştir. Bu çalışmada, her iki kurum ele alınmış ve Yargıtay’ın sözü edilen kararı kapsamlı bir şekilde değerlendirilmiştir. Kanunun özü ve amacı dikkate alındığında, Yargıtay’ın gerekçelerinin tatmin edici olmadığı ve avalde de eşin rızasının aranması gerekeceği sonucuna ulaşılmıştır.
The bankruptcy agreement is one of the contracts that are intended for personal guarantee, regulated by the Turkish Debt Act. In this contract, the debtor shall be liable if the debtor does not fulfill his debt. As a result of this contract, which is mostly based on their relationships, the kephils are often forced to fulfill their debt, although they do not have any interest, and when they are borne to the debtor, they can’t get anything. This causes the debtor and his family to face significant difficulties. For this reason, the Law Koyucu, in addition to the many provisions it brought in the Turkish Debt Act No. 6098 as a protective status, requires the request for the consent of the spouse in failure. Unfortunately, TBK M. 603 has ordered that these protective provisions be applied to other legal proceedings that appear to be false. The legal institution organized by the Turkish Trade Law, whether or not in this scope, has been constantly discussed in the doctrine, if necessary, in judicial proceedings. In 2018 the court ruled that the legal institution could not be assessed within the framework of TBK m 603 and that it was not necessary to seek consent of the spouse. In this study, both institutions have been discussed and the judgment of the Court has been thoroughly assessed. Having regard to the essence and purpose of the law, the judgment of the court has not been satisfying and the judgment of the spouse must also be sought in the court.
