Abstract:

The responsibility of the Limited company managers is regulated by reference to the provisions of liability relating to an anonymous company, as in TTK 6672, as in TTK 6102. In fact, Article 644(1)(a) of the TTK clearly states that the provisions of liability relating to anonymous companies shall also apply to limited companies. It is clearly adopted that Article 553 which regulates the responsibilities of the members of the board, managers and cleaning officers is also applicable to the responsibilities of the limited company managers. In the study, only the legal responsibility of the managers will be addressed within the framework of the provisions relating to the responsibilities of the members of the board of directors of anonymous company.
