Abstract:

Just termination of joint stock companies, which was not regulated in the law no. 6762, has been introduced into Turkish law as a minority right with Art. 531 of Turkish Commercial Code, law no. 6102. Because of difference between old and new law orders, various matters regarding application of Art. 531 in terms of date become a current issue. Matters of whether this right inures at once for joint stock companies which formed before the code entered into force, legal circumstance of charter clauses, which vests right of just termination to shareholders, and whether shareholders that exercise this right may adduce events which occurred before Turkish Commercial Code came into effect are sought a solution in this study
