Abstract:

This study, within the framework of the theory of advocacy and the theory of resource dependency, a corporate management mechanism aims to explore the relationship between the structural characteristics of the board and the roles of the board and financial performance. For this purpose, the data obtained from conversations with ten senior managers working in public food companies were analyzed using the NVivo 8 quality data analysis program. The findings show that the majority of the companies included in the sample are family companies, that the minimum level of lawyer problems occur through detailed audit processes, and that the lawyer costs are at the maximum level. Moreover, it has been shown that the critical source focuses on raw materials and financial resources, that addiction is more against the state in terms of legal regulations and that it is effective to be the most participating in the election of the board members. When the structural characteristics of the board of directors were assessed the relationship with financial performance, there was no conclusion in public food companies that showed that these characteristics could be related to financial performance alone. When the companies included in the example are damaging, the impact of the economic and political crises in the world and in Turkey in the decade (2006-2015) which is the subject of analysis should also be taken into account.
