Abstract:

Article 420 of the Turkish Commercial Code No. 6102 gives the minority the right to postpone the negotiation of the financial statements and the related issues that may be used during the general meeting in one month. Since the right is a right of a minority, the concept of "minority" is first explained in order to ensure deepening of the working position, the differences between the legal nature of minority right and similar rights are discussed; The regulation in the eTK and the criticisms made at that time were expressed and finally the subject was examined in detail in the framework of the Turkish Commercial Code No. 6102. Legal considerations have been made in the course of this investigation. A solution to the identified problems has been proposed. The opinions in the teaching and the evaluation of the decisions of the Supreme Court have not been neglected.
