Abstract:

Property No. 6762 in the Turkish Trade Act was included in the ultra vires principle, the rights and debt licenses of trade companies, therefore anonymous and limited companies were limited to the business subject written in the company contract. This principle, which means that the real driving licences of anonymous and limited companies are limited to the business subjects written in the company contract, has been repealed by Turkish Trade Act No. 6102 from 1 July 2012. From the date mentioned, anonymous and limited companies’ rights licenses are not subject to the business. In addition, the TTK and anonymous and limited corporation’s management bodies have been made radical changes. In this study, the new Turkish Trade Act No. 6102 is anonymous with the management and representation of the limited company and the regulations on the period of these powers and the effects of the exclusion of the ultra vires principle on the excess of powers in both types of companies.
