İflâsın ertelenmesi müessesesi, 4949 sayılı Kanun ile tüm sermaye şirketleri bakımından işlerlik kazanmış olup bu kurum daha önceleri Eski Ticaret Kanunu’nun (eTTK) m.324 ikinci fıkrasında ve Kooperatifler Kanunu m.63’te düzenlenmişti. Bu uygulama, 6102 sayılı Ticaret Kanunumuzun m.376-377 hükümleri ile sade bir dil ve İcra İflas Kanunu (İİK) m. 179 hükmüne paralel düzenleme ile yeniden kaleme alınmıştır. İflâsın ertelenmesi müessesesi, 20.07.2016 tarih ve 9064 sayılı BK kararıyla ülke çapında uygulamaya konulan olağanüstü hal kararıyla OHAL süresi ile sınırlı olmak kaydıyla başvuruların ve tedbir hükümlerinin durdurulması anına kadar uygulamada en çok rağbet gören uygulamalardan birisi olmuştur . İflâsın ertelenmesi kurumundan beklenen amaç, şirketin veya kooperatifin borca batıklık halinin giderilmesi ve ıslah edilmesidir. İflasın ertelenmesi konusunda karar verecek mahkemeye, şirketin ıslah olabileceği yönünde kanaat veren çalışmalara iyileştirme projeleri denmektedir. Çalışmamız esnasında iflasın ertelenmesi sürecinde iyileştirme projesi ve özellikleri üzerindeki akademik çalışmaların konunun önemine binaen sınırlı olduğunu tespit ettik. Literatür taraması yapılırken belirlenen çalışmaların daha çok iflâsın ertelenmesi kurumunun tümünü kapsayacak ve iyileştirme projeleri hususunda ayrıntıyı içermeyecek şekilde bulunduğunu belirledik. Bu çalışmamızda, uygulamada etkin bir işlerlik kazanan ve kendisine uzun vadede sıkça başvurulabileceği düşünülen iflasın ertelenmesi kurumunda iyileştirme projeleri ve özellikleri üzerinde durmaya çalışacağız.

In this work, we will try to focus on the improvement projects and features in the bankruptcy delaying institution, which is considered to be frequently applied in the long-term, which has an effective job in the practice.
