Yabancı Mahkemeler Lehine Yapılan Yetki Anlaşmasında Seçilen Mahkemenin Belirli Olmamasından Kaynaklanan Meseleler

Türk hukukunda 5718 sayılı Milletlerarası Özel Hukuk ve Usul Hukuku Hakkında Kanun (MÖHUK) m.47 hükmüyle yabancılık unsuru içeren borç ilişkilerinden doğan uyuşmazlıkların yabancı devlet mahkemelerinde çözümlenmesi konusunda yetki anlaşmaları akdetme yetkisi tanınmıştır. Yargıtay, MÖHUK m.47’de yer almamasına rağmen, yabancı mahkemeleri yetkilendiren anlaşmaların geçerliliği için seçilen yabancı mahkemenin/mahkemelerin belirli olması şartını aramaktadır. Ancak, Yargıtay’ın yabancı mahkemenin belirli olması şartına ilişkin içtihatlarında, söz konusu şartın aranmasına haklı kılan gerekçeler ortaya konmadığı gibi, yakın tarihli çoğu kararında gerekçe olarak yalnızca yetki anlaşmasıyla Türk mahkemelerinin yetkili kılınmasının hukuki rejimini belirleyen Hukuk Muhakemeleri Kanunu m.17-18’e dayandığı görülmektedir. Daha da önemlisi, Yargıtay’ın yakın tarihli içtihatları dahi birbiriyle çelişki arz etmektedir. Bu durum, MÖHUK m.47’ye güvenerek Türk mahkemelerinin yetkisinin bertaraf edildiği ve olası uyuşmazlığın yabancı mahkeme önünde görüleceği düşüncesiyle hareket eden tarafları belirsizliğe itmektedir. Kaldı ki söz konusu şartın aranmasının, milletlerarası yetki anlaşmalarının amacı ve işlevi karşısında ne derece yerinde olduğu da tartışmaya açıktır. Ayrıca MÖHUK m.47 bakımından söz konusu şartın aranması, kimi hallerde yabancı devlet mahkemelerini yetkilendiren kimi anlaşmaların geçerliliğine ilişkin problemleri de ortaya çıkarabilecektir.

The Turkish law recognizes the authority to adopt agreements on the resolution of disputes arising from debt relations containing foreign element by Law No. 5718 on International Special Law and Procedure Law (MÖHUK) m.47 in foreign state courts. The court, although not included in MÖHUK m.47 requires the condition that the foreign courts selected for the validity of the agreements authorising foreign courts are determined. However, as in the judgments of the Court concerning the condition that a foreign court is determined, there are no reasons to justify the request for that condition, the majority of recent decisions are based only on the jurisdiction agreement of the Turkish courts, which determines the legal regime of the jurisdiction of the Turkish courts. It is based on 17-18. More importantly, the court’s recent drinks are even contradictory with each other. This situation leads to uncertainty the parties who act with the view that the authority of the Turkish courts is removed by relying on MÖHUK m.47 and that the possible dispute will be seen before a foreign court. It is also open to debate how much the request for this condition is in relation to the purpose and function of the international authority agreements. Furthermore, the search for this condition in terms of M.47 may also raise problems with the validity of some agreements that authorize foreign state courts in some cases.

In Turkish law, Article 47 of Turkish Code on Private International Law and International Civil Procedure no.5718 (CPIL) allows parties to agree on foreign courts to resolve disputes arising out of contractual relationships with foreign elements. Although there’s no such stipulation in Art.47, the Court of Cassation demands that a foreign court(s) chosen by the parties must be determined specifically in the choice-of-forum agreement. However, the Court has not revealed reasonable or justified reasons for their decisions. More recently, the Court has based its decisions only on Art.17-18 of Turkish Code on Civil Procedure which determines the legal regime of choice-of-forum agreements in Turkish courts. More importantly, even the most recent decisions in the Court regarding the application of this condition in question contradicts each other. This situation pushes the parties, who believe that the competence of Turkish courts have been abolished and possible disputes will be heard before foreign courts by relying on Art.47 of CPIL, to the uncertainty. Moreover, it can also be argued as to what extent it’s appropriate to seek for this condition in terms of the purpose and function of choice-of-forum agreements.
