İmtiyazlı pay sahipleri kurulunun hukuki niteliğine ilişkin gerek doktrin gerekse Yargıtay kararlarında farklı görüşler ileri sürülmüştür. Göründüğü kadarı ile bu tartışma ve görüş ayrılıkları 6102 sayılı Türk Ticaret Kanunu TTK döneminde de devam edecektir. Bu çalışmada genel olarak tüzel kişilerde organ kavramı ve anonim ortaklıklar özelinde organ sıfatının nasıl tespit edileceği hususları açıklanacak; daha sonra 6102 sayılı TTK’nın da getirdiği düzenlemeler ışığında özel kurulun organ sıfatı tartışılacaktır.]]>
