Abstract:

TTK m. 124/1 uyarınca kooperatifler, bir ticaret şirketidir. Kooperatifler, ortaklarının ekonomik menfaatini geliştirmek amacını taşımaktadır. Kooperatiflere ilişkin Türk Hukukunda ana düzenleme 1163 sayılı Kooperatifler Kanunudur (KoopK). KoopK hükümleri, TTK hükümlerine göre uygulanma açısından önceliklidir; KoopK aksine bir hükme yer vermediği hususlarda TTK’daki anonim şirketlere ilişkin hükümler, KoopK m. 98 atfı nedeniyle, uygulanacaktır. Bu husus kooperatif organlarının aldığı kararlar açısından da önemlidir. Makale konumuzun esasını kooperatif organ kararları oluşturmakta-dır.

Abstract:

In accordance with the TSI m.124/1 the cooperatives are a trade company. Cooperatives are aimed at improving their partners’ economic interests. The main regulation in the Turkish law concerning cooperatives is the Cooperatives Act (KoopK) No. 1163 . The provisions of KoopK are priority in terms of implementation according to the provisions of the TTK; the provisions concerning anonymous companies in the TTK, in cases where KoopK does not include any provisions, will be applied due to the KoopK m. This is also important in terms of the decisions made by the cooperative bodies. The basis of our article is the decision-making of cooperative bodies.
