Delegation of Management Power In Joint-Stock CompaniesI n order to delegate the management power in joint stock companies, the prerequisite is that the articles of company include such a clause that gives permission to delegate. Also, an organizational regulation on management organization must have been regulated by the board of directors. In accordance with these clauses, board of directors will be able to delegate all or a part of the management powers to members and/or third parties. Delegation of management power both restricts the responsibility of the board of directors and enables effective management organization in joint-stock companies within the light of corporate governance. Scope of the delegation, the conditions of the delegation, connection between the delegation of management and representation powers and persons to whom management power may delegate will be examined and, on these issues, current discussions will be discussed in this study
