Türk Borçlar Kanunu ile düzenlenen ticari temsilci işletme sahibinin, ticari işletmeyi yönetmek ve işletmeye ilişkin işlemlerde ticaret unvanı altında, ticari temsil yetkisi ile kendisini temsil etmek üzere, açıkça ya da örtülü olarak yetki verdiği kişi olarak tanımlanmış, ancak bu kişinin tüzel kişi olup olamayacağına ilişkin detaylı bir düzenleme yapılmamıştır. Bu hususta bir açıklama yapılmaması ve ticari temsilcilik kurumunun kendine has düzenlemeleri, tüzel kişilerin ticari temsilci olarak atanıp atanamayacağı hususunda doktrinde farklı görüşlerin doğmasına yol açmıştır. Çalışmamızda, tüzel kişilerin ticari temsilci olarak atanıp atanamayacağı sorunu doktrinde ortaya konulan görüşler ışığında, modern işletme mantığının yanı sıra 6102 sayılı Türk Ticaret Kanunu ile benimsenen genel ilkeler ve ilgili özel düzenlemeler göz önüne alınarak değerlendirilecektir
Turkish Code of Obligations defines the Prokurist as a person who has been expressly or tacitly granted by the owner, with the authority to conduct operations at commercial enterprise and to sign per procuration under the title of owner’s commercial name. However, the regulation does not include detailed provisions in the matter of the legal possibility of legal entities to be granted as Prokurist. As a consequence, different approaches have been expressed by the doctrine on the issue. This article; examines if legal entities can be appointed as Prokurist, in the framework of modern approaches to commercial enterprises and the general principals of Turkish Commercial Code No:6102 besides the doctrinal views and special provisions of related regulations
