Şirketler hukukunda şirketlerin bağımsız karar aldıkları kabul edilmektedir. Ancak şirketlerde ortak yönetimin tercih edildiği durumlarda, şirketlerin bağımsızlığı sınırlanmaktadır. Bu ihtiyacı gidermek için Türk Ticaret Kanunu’nda ortak yönetimin bir türü olarak şirketler topluluğu düzenlenmektedir. Şirketler topluluğunda hâkim şirket bağlı şirket üzerinde farklı hukukî kontrol araçlarıyla hâkimiyet tesis etmektedir. Hâkimiyet sözleşmesi, bir şirketin diğerine talimat verme yetkisini içeren bir sözleşme tipi olarak Türk Ticaret Kanunu’nu kapsamında hâkimiyeti tesis eden hukukî kontrol araçları arasında yer almaktadır. Hâkimiyet sözleşmesinin taraflarından birinin merkezinin yabancı bir ülkede diğerinin Türkiye’de olması halinde sözleşmeden doğan sorumluluğa uygulanacak hukuk ve sözleşmeden doğan uyuşmazlıkta Türk mahkemelerinin yetkisinin tespiti gerekmektedir. Bu bağlamda, çalışmada öncelikle Türk hukukunda hâkimiyet sözleşmesine değinilecek daha sonra Türk Ticaret Kanunu’nda düzenlenen hükümler esas alınarak yabancı unsurlu hâkimiyet sözleşmesinden doğan sorumluluğa uygulanacak hukuk ve sözleşmeden doğan uyuşmazlıkta Türk mahkemelerinin milletlerarası yetkisi incelenecektir.
In the corporate law, it is recognized that companies make independent decisions. However, in cases where joint management is preferred in companies, the independence of companies is limited. In order to meet this need, the Turkish Trade Act organizes the company community as a type of joint management. In the company community, the judge establishes jurisdiction over the affiliated company with different legal control means. The jurisdiction contract is among the legal control means establishing jurisdiction under the Turkish Trade Act as a type of contract that includes the authority of one company to give instructions to the other. The jurisdiction of the Turkish courts in the dispute arising from the law and the contract shall be established in the event that the headquarters of one of the parties to the jurisdiction contract is in a foreign country and the other is in Turkey. In this context, the study will first refer to the sovereignty agreement in Turkish law and then on the basis of the provisions of the Turkish Trade Act, the international jurisdiction of the Turkish courts will be examined in the dispute arising from the law and the international jurisdiction of the Turkish courts that will apply to the liability arising from the foreign elemental sovereignty agreement.
