Abstract:

In this study, the relationship between the management structure of the 18 manufacturing industry companies in the Borsa Istanbul (BIST) corporate management index in the 2006-2016 period and the level of caution was studied. The size of the Board of Directors, the independence of the Board of Directors, the number of female members in the Board of Directors, the duality of the CEO, are determined as the variables of the structure of the Board of Directors. The firms’ warning levels are measured by the negative tackling method. According to the results obtained, the size of the board of directors and the fact that the CEO is also a member of the board of directors negatively affects the firms’ level of caution. However, there is a positive relationship between the number of independent members in the board and the level of caution. The CEO is also the chairman of the board and there is no meaningful relationship between the number of female members in the board and the level of caution.
