The pledge on corporate shares is classifi.ed under the pledges on rights and claims. Therefore, pledge on corporate shares is subject to Turkish Civil Code (TCC) Articles 954-961 regarding "Pledge on Claims and Other Rights". In addition to these provisi.ons, commercial law regulations also have to be taken into consideration, since pledge on shares is closely linked to corporations and commercial papers. Si.mil.ar to other types of voluntary pledges, pledge on shares consists of two phases; obligatory act and dispositive acts. Pledge agreement, the obligatory act of pledge, has been regulated by the lawmaker. Share owner undertakes to burden the share with the pledge in favor of the creditor within the pledge agreement. Pledge agreement is not subject to any type of fonn. Pledge agreement, obligatory act, is not sufficient for the establishment of pledge. In addition, a dispositive act needs to be carried out. Legal regulations that the dispositive act shall be subject to differ in relation to certifıed and uncertifıed shares. Accordingly, the establishment of pledge on share may be examined under four main titles: "Pledge on uncertified shares", "pledge on certifıed shares", "pledge on bearer shares "and "pledge on registered shares". Within the context of this study, establishment of pledge on shares has been examined with emphasis on civü law principals. Keywords
