Kesin hükümsüz bir hukukî işlemin, benzer ekonomik sonuçlar doğuran bir başka işleme çevrilerek ayakta tutulmasına tahvil denir. Tahvil müessesesi, Alman hukukunun aksine genel bir hükümle düzenlenmemesine rağmen, Türk ve İsviçre hukukunda da kabul görmektedir. Bununla birlikte tahvilin hangi hukukî temele dayandığı hususunda farklı görüşler vardır. Unsurlarının mevcut olması hâlinde tahvil, re’sen gerçekleşir. Kural olarak her türlü hukukî işlemde söz konusu olabilmekle birlikte tahvil kurumu, sağlar arası hukukî işlemlerden ziyade ölüme bağlı tasarruflarda önem arz eder. Zira yaptıkları hukukî işlem geçersiz olan tarafların, sonradan aynı hukukî işlemi geçersizliğe yol açan sebepten arî olarak yapabilmeleri mümkündür. Oysaki ölüme bağlı tasarrufların geçerli olup olmadıkları miras bırakanın ölümüyle birlikte gündeme geldiği için geçersiz ölüme bağlı tasarrufun geçerli bir şekilde yapılabilmesi söz konusu olamaz. Nitekim bu sebeple kanun koyucu, miras hukukuna ilişkin bazı hükümlerde tahvilin gerçekleşeceğini açıkça düzenlemiştir. Anılan kanunî tahvil düzenlemelerine ek olarak tahvilin unsurlarının mevcut olduğu başka hâllerde de tahvil söz konusu olabilir.
Transformation of a null legal transaction into another transaction with similar economic consequences is called conversion. Contrary to German law, although the institution of conversion is not regulated by a general provision, it is accepted in Turkish and Swiss laws. There are different views about the legal basis of conversion. In case the elements of conversion are present,conversion is realized ex officio. As a rule, all kinds of legal transactions can be converted, but conversion of testamentary dispositions is more important than of legal transactions inter vivos. Because, it is possible for the parties to carry out the same legal transaction later on, free from the reason that led to the nullity. However, since the validity of testamentary dispositions comes to the fore with the death of the inheritor, it is not possible subsequently to make a nullified testamentary disposition validly. As a matter of fact, the legislator has clearly regulated conversion in some provisions of the law of inheritance. In addition to the aforementioned cases of legal conversion, there may be conversion in other cases where the elements of conversion are present.
