The purpose of this paper is to examine the link between board of directors structure and firm performance in Turkey. With the aim of this purpose, hypothesis testing were used for 24 firms quoted in Istanbul Stock Exchange Corporate Governance Index for the year of 2009. In analysis Return on Assets (ROA), Return on Equity (ROE), Price-Earning Ratio (PE), Earnings per Share (EPS), and Stock Return are used as firm performance indicators. The emprical investigations showed that companies which has established both audit committee and corporate governance committee have higher returns. Additionally, companies which have independent chairmen for all of its committee’s have lower Return on Assets (ROA) and Return on Equity (ROE). Similarly, companies which have independent member in board have lower Return on Assets (ROA) and Return on Equity (ROE)
