Abstract:

Ticari hayatın temel hedefi olan kâr elde etme amacı, kaçınılmaz olarak bilinçli şekilde risk üstlenimini gerektirir. İş adamı kararı ilkesi (Ticari Takdir İlkesi -Business Judgment Rule-unternehmerisches Ermessen), anonim şirket yöneticilerinin ticari takdir gerektiren hallerde üstlenmiş oldukları riskler nedeniyle, belirli şartlar dâhilinde iç ilişki bakımından sorumluluktan kurtulmalarına olanak sağlayan bir hukuki kurumdur. Çalışmada ilkenin unsurları ve uygulama esasları hakkında Amerikan, Alman ve İsviçre hukukları çerçevesinde inceleme yapılmış ve Türk hukukuyla ilgili değerlendirmelerde bulunulmuştur
