Abstract:

Corporate governance aims to manage companies in a more transparent and fair manner with a responsible and accountable management. In terms of structure and operation, corporate governance practices are of great importance for insurance companies in which the element of trust is at the forefront. It is expected that a cultivated management mechanism created as a result of good corporate governance will contribute positively to companys performance. The aim of this study of companies operating in the insurance sector in Turkey is to determine whether there is a relationship between corporate performance and corporate governance structures. In this study, 10 year financial data and 70 company/year data of 7 companies traded in Borsa Istanbul (BIST) between the years 2008-2017 were used. The impact of corporate governance structures on financial performance of companies was analyzed by Panel Data Technique. In the study, the dependent variable financial performance was measured with the Return on Equality (ROE), which is frequently used in the literature. Corporate governance practices of companies with independent variables were measured by the board of directors and audit committee. In addition, the company size variable is also included in the model as a control variable since it is likely to affect the financial performance.
