Usufruct is a servitude that enables the owner to participate management of a company. Due to the economical functions of banks, changes in their capital structure and management are under the strict control of regulating authority. With the Banking Law No. 5411, rules aiming to prevent usage of managerial rights by the persons who are not bearing requirements that lawmaker seeking in a shareholder of a bank are established. Since it enables the owner to participate management of a bank, the establishment of usufruct on shares of a bank and transfer of voting rights are subjected to the permission of Banking Regulation and Supervision Agency.
