Abstract:

Technological developments and innovations affect the law as well as every area of our lives. One of the benefits of technology is undoubtedly artificial intelligence technology. With the development of artificial intelligence technology day by day, different developments have begun to occur in most areas of law. One of these areas is corporate law. In 2014, a new era in corporate law began when a company operating in Hong Kong announced that it had appointed artificial intelligence as a member of the board of directors. With the membership of artificial intelligence to the board of directors of incorporated companies, many discussions have been made in company law and continue to be made. While evaluating the responsibilities of artificial intelligence arising from membership, it is necessary to focus on the debate whether a legal personality can be attributed to artificial intelligence. Because there are those who think that artificial intelligence should be accepted as a person, as well as those who consider it as an object, slave, artificial human, artificial proxy. In our study, various aspects will be emphasized on how the responsibility arising from membership will be shaped with the membership of artificial intelligence to the board of directors of the company. In the evaluation made according to the possibilities, explanations will be made according to the different legal statuses attributed to artificial intelligence, it will be stated who is responsible and which provisions should be applied.
