Yönetim kurulu anonim şirketi yöneten ve temsil eden organ olarak o kadar önemlidir ki yönetim kurulunun bulunmaması bir fesih nedenidir. Bu kadar önemli bir organın sorumluluğunun da bir o kadar ağır olması kaçınılmaz bir sonuçtur. Ancak sorumluluğun neticeleri zarar gören açısından tatmin edici olsa da yönetim kurulu üyeleri açısından yıkıcı nitelikte olabilmektedir. Her ne kadar 6102 s. TTK ile yönetim kurulu üyeleri için artık sadece kusurları oranında zarardan sorumlu olma imkânı getirilse de, yönetim kurulu üyelerinin şirket menfaatine bir karar alırken ve bu kararı uygularken cesur davranmaları bu değişiklik ile de yeteri kadar temin edilmiş değildir. 6102 s. TTK bir adım daha ileri giderek yönetim kurulu üyelerinin üzerindeki bu ağır yükün mesleki sorumluluk sigortası ile bertaraf edilmesini mümkün hale getirmiştir. Anonim şirket yönetim kurulu üyeleri için mesleki sorumluluk sigortası, yönetim kurulu üyeleri aleyhine açılan davalarda sigorta güvencesi sağlayan bir sigorta türüdür. Böylece bu davalar neticesinde tazminat ödeme tehdidi ile karşılaşan yönetim kurulu üyelerinin yükü bir ölçüde hafiflemiş olacaktır. En nihayetinde ise yönetim kurulu üyelerinin dava tehdidi altında olmadan şirket menfaatine karar almasının önü açılmış olmaktadır.
The board of directors as governing and representing body of the corpororation is so important, that in the absence of board of directors it is the reason of termination of corporation. Cause it is so significant body of the corporation, it has also heavy responsibilities. Even if consequences of responsibilities are convincing for injured party, consequences could be destructive for board of directors. Although related articles of Turkish Commercial Code No. 6102 enables board of directors being responsible for damages just at the rate of negligence, it is still not be assured in order to be vailant while taking and performing the decision in the interest of the corporation. Turkish Commercial Code No. 6102 steps further in order to dispose heavy burden of the board of directors and give chance to assure board of directors.
