Son on yıl içinde büyük önem arz eden ve tüm dünyada başarılı şirket uygulamaları açısından olmazsa olmaz olarak nitelenen kurumsal yönetim, küresel ekonomik kriz ile birlikte tartışmalı bir konu haline gelmeye başlamıştır. Başarılı kurumsal yönetim uygulamalarına sahip olduğu düşünülen birçok şirket ekonomik kriz sürecinde oldukça zor durumlara düşmüş, hatta kapanmak ya da el değiştirmek zorunda kalmıştır. Bu durumun sorumlusu olarakbaşta şirketin yönetimi gösterilmiştir. Kurumsal yönetim uygulaması çerçevesinde geliştirilen kurumsal yönetim komiteleri ise bu tartışmalara bir çözüm niteliği taşımaktadır. Ülkemizde bankacılık sektöründe kurulması zorunlu bulunan Kurumsal Yönetim Komitesi, sigorta şirketleri açısından zorunluluk taşımamaktadır. Ayrıca sigorta sektörü açısından kurumsal yönetim ilkeleri ve uygulamaları açısından bir mevzuat da bulunmamaktadır. Bu çalışmanın amacı, sigorta sektörü açısından kurumsal yönetimin önemini ortaya koyarak, sigorta şirketlerinde kurumsal yönetim komitesinin mevcut durumunu incelemek ve komitenin oluşturulma ve çalışma ilkeleri konusunda bir açılım sağlamaktır. Bu kapsamda, ülkemiz sigorta sektöründe faaliyet gösteren ve hisse senetleri İstanbul Menkul Kıymetler Borsası’nda işlem gören sigorta şirketleri üzerinde kurumsal yönetim komitesinin varlığı üzerine bir inceleme yapılmıştır.
Corporate governance, which has been of great importance over the past decade and has not been characterized as successful corporate practices worldwide, has begun to become a controversial topic along with the global economic crisis. Many companies considered to have successful corporate management practices have fallen into quite difficult situations during the economic crisis process, and have even been forced to close or change hands. In this case, the company’s leadership was initially shown. The corporate management committees developed in the framework of the corporate management practice are a solution to these discussions. The corporate management committee, which is mandatory to be established in the banking sector in our country, is not mandatory for insurance companies. There is also no legislation in terms of corporate management principles and practices in the insurance sector. The aim of this study is to highlight the importance of corporate governance in the insurance sector, to examine the current situation of the corporate management committee in insurance companies and to provide an opening into the principles of the committee’s formation and work. In this context, a review of the existence of the corporate management committee on the insurance companies that operate in the insurance sector of our country and shareholders are traded in the Istanbul Stock Exchange has been made.
