Sözleşmeler hukukunun temel mantığına göre bir sözleşme kurulur, taraflar bu sözleşmeden doğan borçlarını yerine getirir ve sözleşme sona erer. Kural bu olmakla birlikte çeşitli sebeplerle borcun ifa edilmemesi durumuyla sıkça karşılaşılır. Hukuk düzeni, sözleşmeden doğan borçların ifa edilmemesi hâlinde ihlal eden tarafa karşı ileri sürülebilecek talepleri belirler. Tazminat ve aynen ifa bu taleplerden en temel olanlarıdır. Çalışmanın konusunu oluşturan aynen ifa, borçlunun borcunu ifa etmemesi üzerine ifada ısrar edilmesi anlamına gelir. Satış sözleşmesi özelindeyse satıcının sözleşmeden doğan borcunu ifa etmemesi hâlinde alıcı, satılanın zilyetliğinin ve mülkiyetinin kendisine geçirilmesini talep eder. Bu çalışmada alıcının ileri süreceği aynen ifa talebi, Milletlerarası Mal Satımına İlişkin Sözleşmeler Hakkında Birleşmiş Milletler Antlaşması (CISG) ışığında incelenecek ve Türk Borçlar Hukuku ile karşılaştırılacaktır.

Abstract:

According to the basic logic of contract law, a contract is concluded when the parties perform their obligations arising from this contract and the contract ends. Although this is the rule, the situation where an obligation is not performed for various reasons is often encountered. The legal order determines the claims that can be made against the breaching party when the contractual obligations are not fulfilled. Damages and specific performance are the main claims. Specific performance which constitutes the subject matter of this study means that the performance is insisted on as a consequence of the debtor's non-performance. In the case of the sale contract, if the seller does not fulfill his contractual obligations, the buyer demands the transfer of possession and ownership of the goods sold. In this study, the buyer’s right to require specific performance will be examined in the light of the United Nations Convention on Contracts for the International Sale of Goods (CISG) and compared with the Turkish Law of Obligations.
